# Subscription Terms

## Important notice

These terms are a practical draft intended to be usable under United States and Romanian legal framing. They are **not legal advice** and do not create an attorney–client relationship. EAROCO SERVICES SRL - ANDREI BUJAKI may replace them with counsel-reviewed versions.

These Subscription Terms apply when you purchase or activate a **Pro** or **Business** entitlement. Free use is governed by the EULA alone.

## 1. Plans

- **Pro:** subscription for an individual; unlocks Knowledge folder, file/knowledge tools, higher limits, and solo commercial use (as described in product docs).
- **Business:** subscription or manually issued key for organizational use; includes Pro-level Local Assistant features and, when shipped, Arya Project under Business entitlement.

Paid plans are **subscription only** (yearly primary, monthly secondary) unless a manual Business arrangement states otherwise.

## 2. Activation

A valid license key activates the matching tier in the app. Entitlement may be validated online when configured. Test or development keys may exist outside production and can be revoked.

## 3. Billing and provider

Purchases through Paddle (or another designated merchant of record) are also subject to that provider’s checkout and refund policies. Taxes may apply as shown at checkout.

## 4. Cancellation and expiry

If you cancel or the subscription lapses, paid entitlements end at the close of the paid period (or sooner if the key is revoked for abuse). The app then returns to **Free**. **Local data** (chats, settings, models on disk) is **not deleted** solely because the plan changes.

## 5. Changes

We may update these terms in future app versions or Release notes. Continued use of a paid entitlement after an update constitutes acceptance of the revised terms to the extent permitted by law.

## 6. Governing law

Same dual-jurisdiction rules as the EULA: Romania/EU → Romanian law; United States → Delaware, USA; otherwise Delaware, USA + US export rules. Language conflict rules match the EULA.
