# End-User License Agreement (EULA)

## Important notice

These terms are a practical draft intended to be usable under United States and Romanian legal framing. They are **not legal advice** and do not create an attorney–client relationship. EAROCO SERVICES SRL - ANDREI BUJAKI may replace them with counsel-reviewed versions.

By installing or using Arya 900 Local Assistant (“Software”), you agree to this EULA. If you do not agree, do not install or use the Software.

## 1. Proprietary software

The Software is **proprietary**. No Apache License 2.0 or other open-source license is granted for Arya 900 Local Assistant as a product. All rights not expressly granted are reserved by EAROCO SERVICES SRL - ANDREI BUJAKI.

Third-party components (including Electron, Chromium, npm packages, and any GGUF or other models you download) remain under **their own** licenses. You are responsible for complying with those licenses.

## 2. License grant

Subject to this EULA, you receive a limited, non-exclusive, non-transferable, revocable license to install and run the Software on devices you own or control, according to your entitlement tier:

- **Free:** personal, non-commercial light use only.
- **Pro / Business:** as described in the Subscription Terms when you activate a valid paid entitlement.

You may not reverse engineer, redistribute, rent, or publicly rebrand the Software except as allowed by mandatory law.

## 3. Commercial use

Commercial, business, or organizational use of the Software requires a **Pro** or **Business** entitlement, even if those plans are activated later via license key. Free is limited to personal, non-commercial use.

## 4. Your content

You retain rights in your own documents, prompts, and chat content stored on your device. This EULA does not transfer ownership of your content to the publisher.

## 5. No warranty

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

## 6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EAROCO SERVICES SRL - ANDREI BUJAKI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, OR BUSINESS, ARISING FROM USE OF THE SOFTWARE. AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE ENTITLEMENT IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR ZERO IF YOU USE FREE ONLY).

Some jurisdictions do not allow certain limitations; in those cases, limits apply to the fullest extent permitted.

## 7. Export and sanctions (United States)

You must comply with United States export control and sanctions laws (including EAR and OFAC rules). You may not use, export, or re-export the Software if you are located in a comprehensively sanctioned jurisdiction or are a prohibited party under US law, except as authorized by the US government. This obligation applies especially to US users and to users outside Romania/EU under the default jurisdiction below.

## 8. Governing law and disputes

1. If your habitual residence or establishment is in **Romania or another EU Member State**, this EULA is governed by **Romanian law**, and disputes shall be brought before the competent courts of Romania, subject to mandatory consumer protections.
2. If you are in the **United States**, this EULA is governed by the laws of the **State of Delaware, USA** (excluding conflict-of-law rules), and disputes shall be brought in courts located in Delaware, USA, subject to mandatory consumer protections.
3. **Otherwise**, this EULA is governed by the laws of the **State of Delaware, USA**, and US export/sanctions rules apply; disputes shall be brought in courts located in Delaware, USA, subject to mandatory local protections that cannot be waived.

If English and Romanian versions conflict, the language/law pair for your jurisdiction under (1)–(3) controls; for (3), English and US law control.

## 9. Termination

You may stop using and uninstall the Software at any time. Free use may continue under Free terms. Paid entitlements follow the Subscription Terms. Provisions that by nature should survive (ownership, liability limits, export, governing law) survive termination.
